1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and SmartHost Web Services Limited ("Server Scout", "we", "us", or "our") governing your use of the Server Scout website and monitoring service (the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

2. Description of Service

Server Scout provides a lightweight Linux server monitoring service consisting of a bash-based monitoring agent that runs on your servers and a web-based dashboard for viewing server metrics, alerts, and status information. The Service is accessible at app.serverscout.ie.

3. Account Registration

To use the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised use of your account.

4. Free Trial

New accounts receive a free trial period of 3 months with full access to all features. No credit card is required during the trial. At the end of the trial period, you may choose to subscribe to a paid plan or your account will become inactive. We reserve the right to modify or discontinue the free trial at any time.

5. Pricing and Payment

The Service is billed monthly at the rates published on our Pricing page. All prices are in Euro (EUR) and are exclusive of VAT, which will be added at the applicable rate. Payment is due at the beginning of each billing period. We reserve the right to change our pricing with 30 days' notice.

6. Cancellation

You may cancel your subscription at any time. Upon cancellation, your access to the Service continues until the end of your current billing period. No refunds are provided for partial billing periods. After cancellation, your monitoring data will be retained for 30 days before being permanently deleted.

Your use of the Service is also governed by our Privacy Policy. You retain ownership of all data collected from your servers. We do not access your server monitoring data except as necessary to provide the Service or as required by law.

9. Agent Installation

By installing the Server Scout monitoring agent on your servers, you authorise the agent to collect system metrics (CPU, memory, disk, load, network, services) and transmit them to our servers over HTTPS. The agent runs with the minimum permissions required and does not modify your system configuration.

10. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform scheduled maintenance with advance notice. We are not liable for any downtime, data loss, or damages resulting from service interruptions.

11. Intellectual Property

The Service, including its software, design, logos, and content, is owned by SmartHost Web Services Limited and is protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use the Service in accordance with these Terms.

12. Limitation of Liability

To the maximum extent permitted by law, Server Scout shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, revenue, or business opportunities, arising from your use of or inability to use the Service.

Our total liability for any claims arising from these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless Server Scout, its officers, directors, and employees from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of Ireland. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the Irish courts.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.
